Draft new constitution for consideration by members
As members have been advised by post, Cat Protection is contemplating moving its incorporation from the auspices of the NSW Associations Incorporation Act and NSW Fair Trading to the federal Corporations Act and ASIC. The reason for this is that the NSW system is intended to cover smaller organisations and our operations and assets are considered too large. However, any decision to make such a change can only be made by members.
The amended Constitution proposes no changes to our purpose or governance structures / processes (other than as are required to facilitate incorporation as a company). In many practical respects, amendments in the new Constitution involve little more than the change of name and working with ASIC in lieu of Fair Trading. To assist members see the proposed changes clearly, the draft new constitution is presented here showing tracked changes as well as in a ‘clean’ format.
